Licence terms (EULA)

Product: “Xpresiva”, a theme (template) for the Ghost CMS, including its code, templates, styles, assets and documentation.

By purchasing, downloading or installing the Product, the Licensee accepts these Terms.

1. Nature of the licence

The Product is licensed, not sold. Oksigenia SL retains at all times ownership and all intellectual property rights in the Product. This licence is non-exclusive, non-transferable (except as provided for the Agency plan) and proprietary (the Product is not open-source software).

2. Grant by purchased plan

• One site: use of the Product on one (1) single production site of the Licensee. Additional installations for development, staging or testing of that same site are allowed at no cost.
• Agency: use on an unlimited number of sites, the Licensee’s own or its clients’. When installed for a client, that end client receives the right to use the Product on that site only (a per-delivered-site sublicence); the Agency status is not transferred, nor does it entitle the end client to redistribute or install the Product on other sites.
• We set it up: a turnkey installation and configuration service provided by Oksigenia SL; the underlying use licence is that of the purchased plan (One site or Agency). It includes a 30-day warranty on the setup performed (fixing defects in what Oksigenia configured; it does not cover new changes or content the client adds afterwards). The exact scope is detailed in the corresponding offer.

3. Permitted uses

Installing the Product on the sites authorised by your plan; modifying and adapting the Product for your own use (colours, templates, text); and using it commercially on those sites.

4. Prohibited uses

The following are prohibited, except with written authorisation: (a) redistributing, reselling, assigning, renting or sublicensing the Product or its code beyond what is granted in clause 2; (b) publishing it or making it publicly available (open repositories, third-party marketplaces, etc.); (c) reselling the Product “as is” or as part of a kit or derivative theme intended for distribution; (d) removing or hiding the authorship and copyright notices; (e) using the “Xpresiva” or “Oksigenia” trademarks to promote derivative products.

5. Updates and support

• Updates: one (1) year included from purchase (fixes, compatibility with new major versions of Ghost, and new features). After that year, the installed version keeps working indefinitely; to keep receiving updates, an annual renewal equal to 40% of the licence price applies.
• Support: by email (hola@xpresiva.com) for installation, configuration and Product defects, included for 1 month (One site plan) or 3 renewable months (Agency plan) from purchase. Target response time: 3 business days (timeframes may extend in August). It does not include custom development, content migration, or support for Ghost itself or the Licensee’s server/hosting.
• Compatibility: the Product is tested with each major Ghost version; operation on untested versions or with third-party modifications is not guaranteed.

6. Warranty and liability

The Product is provided “as is”, without implied warranties of merchantability or fitness for a particular purpose. To the maximum extent permitted by law, Oksigenia SL’s total liability is limited to the amount actually paid for the licence. Nothing in these Terms excludes liability that cannot legally be excluded towards consumers.

7. Refunds and right of withdrawal

The Product is digital content supplied for immediate download. In accordance with Article 103.m) of the Spanish consolidated Consumer Protection Act (and the equivalent EU consumer rules), by starting the download with your express consent and acknowledgement that you lose the right of withdrawal, the 14-day right of withdrawal does not apply once the download has begun.

Given its nature as immediately downloadable digital content, no refunds are offered once the Product has been purchased. Sole exception: where the Product is substantially not as described or defective and the issue cannot be remedied within a reasonable time. This policy does not affect the consumer’s mandatory legal rights.

8. Continuity and discontinuation

Should Oksigenia SL discontinue the Product, whatever is already installed will keep working without depending on any Oksigenia server (there is no remote kill switch). Oksigenia SL may, at its discretion, then release the Product under an open-source licence so the community can maintain it.

9. Data protection

The processing of personal data arising from the purchase and support is governed by the xpresiva.com Privacy Policy.

10. Governing law and jurisdiction

These Terms are governed by Spanish law. For consumers, the court of their domicile has jurisdiction and their mandatory rights are respected. For business/professional clients, the parties submit to the Courts of Santa Cruz de Tenerife.

11. Term

The use licence for the purchased version is perpetual as long as these Terms are respected. Breach of clauses 2 or 4 entitles Oksigenia SL to terminate the licence.
